Terms & Conditions
Article 1. Definitions
- Gyap Staffing Ltd ("Gyap Staffing"): A company registered in England and Wales providing staffing, recruitment, cleaning and related workforce solutions.
- Client: Any individual, company, organisation or legal entity engaging the services of Gyap Staffing Ltd.
- Worker: Any individual supplied, recruited, introduced, employed or engaged through Gyap Staffing Ltd.
- Agreement: Any written, electronic or verbal agreement between Gyap Staffing Ltd and a Client.
- Services: Recruitment, staffing, temporary labour supply, cleaning services, domestic support services and related consultancy services.
Article 2. Applicability
These Terms and Conditions apply to all quotations, agreements and services provided by Gyap Staffing Ltd.
Any deviation from these Terms shall only be valid if agreed in writing by Gyap Staffing Ltd.
Any terms proposed by the Client are expressly excluded unless accepted in writing.
Article 3. Quotations and Agreements
All quotations are non-binding and valid for 30 days unless otherwise stated.
An Agreement is formed when:
- The Client accepts a quotation;
- The Client confirms a booking;
- Gyap Staffing Ltd commences service delivery.
Article 4. Client Responsibilities
Clients shall:
- Provide accurate information regarding services required;
- Ensure safe access to premises;
- Comply with health and safety requirements;
- Provide a safe working environment for Workers.
The Client remains responsible for compliance with applicable employment, health and safety and safeguarding obligations.
Article 5. Fees and Payment
5.1 Pricing and Service Fees
The price of services shall be displayed to the Client during the booking process. Pricing may vary depending on factors including, but not limited to:
- Service type;
- Duration of service;
- Location of the property;
- Time and date of service;
- Demand and availability.
Unless otherwise stated, prices may include:
- Worker labour costs;
- Travel expenses;
- Standard equipment and materials where applicable;
- Administrative and platform service fees.
Certain services may be subject to a minimum booking duration or minimum booking value, which shall be clearly displayed during the booking process.
5.2 Payment Methods
Gyap Staffing Ltd accepts payment through approved electronic payment methods, including:
- Debit cards;
- Credit cards;
- Stripe;
- GoCardless;
- Square;
- Other approved digital payment providers.
For security and administrative reasons, Gyap Staffing Ltd does not accept:
- Cash payments;
- Cheques;
- Unauthorised direct transfers unless expressly agreed in writing.
5.3 Card Authorisation
When a booking is made, Gyap Staffing Ltd may place a pre-authorisation hold on the Client's payment card or selected payment method.
The purpose of the pre-authorisation is to:
- Verify the validity of the payment method;
- Confirm availability of sufficient funds;
- Reduce fraudulent transactions;
- Protect Workers against cancellations and non-payment.
The pre-authorisation is not an immediate charge and may appear as a temporary hold by the Client's financial institution.
5.4 Collection of Payment
Unless otherwise agreed, payment shall be automatically collected following completion of the booked service.
Gyap Staffing Ltd reserves the right to process payment on the day of service, or within a reasonable period thereafter.
By making a booking, the Client authorises Gyap Staffing Ltd and its payment service providers to collect all applicable charges from the payment method provided.
5.5 Additional Charges
Additional charges may apply where:
- The Client requests additional services during the appointment;
- The duration of service exceeds the booked period;
- Incorrect booking information has been provided;
- Additional Workers are requested;
- Special equipment or materials are required.
Any additional charges will be communicated to the Client where reasonably practicable.
5.6 Invoices
Invoices and payment confirmations may be issued electronically.
Business clients may be offered account facilities subject to prior approval by Gyap Staffing Ltd.
Unless otherwise agreed in writing, business invoices shall be payable within fourteen (14) calendar days from the invoice date.
5.7 Late Payment
Where payment is not successfully collected or remains outstanding, Gyap Staffing Ltd reserves the right to:
- Re-attempt collection;
- Suspend future bookings;
- Charge statutory interest in accordance with applicable law;
- Recover reasonable debt collection costs;
- Commence legal proceedings to recover outstanding sums.
5.8 Cancellation Policy
Clients may cancel bookings subject to the following cancellation charges:
- More than 24 hours before the scheduled appointment: No cancellation fee.
- Between 24 and 8 hours before the scheduled appointment: Administrative fee of £5 to £10 may be charged.
- Between 8 and 4 hours before the scheduled appointment: Up to 25% of the booking value may be charged.
- Between 4 and 2 hours before the scheduled appointment: Up to 50% of the booking value may be charged.
- Less than 2 hours before the scheduled appointment: Up to 80% of the booking value may be charged.
- Cancellation after the scheduled service start time or failure to provide access (No-Show): Up to 100% of the booking value may be charged.
These charges compensate Workers for reserved time, travel costs and lost earning opportunities.
5.9 Immediate Cancellation
Clients may cancel a booking free of charge within fifteen (15) minutes of receiving booking confirmation, provided the scheduled service has not commenced.
5.10 Failure to Provide Access
If a Worker attends the appointment location but is unable to perform the service due to:
- Lack of access;
- Incorrect address information;
- Unsafe working conditions;
- Failure of the Client to attend;
Gyap Staffing Ltd may charge a call-out fee, travel fee, compensation fee, or the full booking value.
5.11 Refunds
Where a refund is approved, it shall be processed through the original payment method used for the booking.
Refund processing times may vary depending on the payment provider and financial institution involved.
5.12 Exceptional Circumstances
Gyap Staffing Ltd may, at its sole discretion, waive cancellation fees or issue refunds in cases involving:
- Medical emergencies;
- Accidents;
- Bereavement;
- Severe weather conditions;
- Other exceptional circumstances beyond the Client's reasonable control.
5.13 Fraud Prevention and Payment Security
Gyap Staffing Ltd reserves the right to verify payment information, conduct fraud prevention checks, and refuse bookings where fraudulent, suspicious, or unauthorised payment activity is suspected.
To protect Clients and Workers, all payments may be processed through secure third-party payment providers that utilise encryption, fraud monitoring, and secure transaction technologies.
Article 6. Rate Adjustments
Gyap Staffing Ltd reserves the right to adjust rates due to:
- National Minimum Wage increases;
- National Insurance changes;
- Legislative changes;
- Inflationary pressures;
- Increased operational costs.
Article 7. Liability
Gyap Staffing Ltd shall not be liable for:
- Indirect losses;
- Loss of profit;
- Business interruption;
- Consequential damages.
Liability shall be limited to the value of the services provided under the relevant assignment and shall not exceed £10,000 per claim except where prohibited by law.
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence;
- Fraud;
- Any liability that cannot legally be excluded.
Article 8. Data Protection
Gyap Staffing Ltd processes personal data in accordance with:
- UK GDPR;
- Data Protection Act 2018.
All parties shall maintain confidentiality regarding personal data.
Article 9. Confidentiality
All information exchanged during the course of the relationship shall be treated as confidential unless disclosure is required by law.
Article 10. Force Majeure
Gyap Staffing Ltd shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control including:
- Natural disasters;
- Industrial action or transportation strikes;
- Government restrictions;
- Pandemics;
- Utility failures;
- Third-party disruptions.
Article 11. Termination
Either party may terminate an ongoing agreement by providing 30 days' written notice. This only applies to contracts for a long period.
Gyap Staffing Ltd may terminate immediately in cases of:
- Non-payment;
- Misconduct;
- Abuse towards Workers;
- Breach of contract.
Article 12. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
